Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ProField website, application, and related services (together, the “Services”). ProField is a product owned and operated by Nexus Solutions WA Pty Limited (ABN 59 676 868 107) (“Nexus Solutions WA”, “we”, “us”, or “our”). Please read these Terms carefully. By accessing or using the Services, or by creating an account, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Acceptance of these terms

By creating an account, signing in, or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms. If you are using the Services on behalf of a business, you agree to these Terms on that business’s behalf and confirm you have authority to bind it.

2. Eligibility

The Services are intended for business use by tradespeople and trade businesses. To use the Services you must be at least 18 years old and able to form a legally binding contract. You are responsible for ensuring your use of the Services complies with all laws that apply to you.

3. The ProField service

ProField provides scheduling, dispatch, job management, and related tools for trade businesses, including features that use artificial intelligence to assist with scheduling. We are continually developing the Services, and features may be added, changed, or made available progressively. Some features described on our website may not yet be available.

4. Accounts and sign-in

Access to the Services requires an account. Accounts are created and accessed using third-party single sign-on (SSO) providers, such as Google, Microsoft, or Facebook. You are responsible for maintaining the security of the third-party account you use to sign in, and for all activity under your ProField account. You must provide accurate information, keep it up to date, and notify us promptly of any unauthorised use.

5. Subscription plans, free trial, and fees

The Services are offered under subscription plans, the features and prices of which are described on our website. We may offer a free trial for a limited period. Unless you cancel before the trial ends, your subscription will continue as a paid subscription. We may change our plans and pricing, and will give reasonable notice of changes affecting your current subscription; such changes take effect from your next billing cycle.

6. Billing and payment

Paid subscriptions are billed in advance on a recurring basis (monthly, or as otherwise stated) until cancelled. Payments are processed by our third-party payment processor, Stripe. By providing payment details, you authorise us and Stripe to charge the applicable fees to your nominated payment method. You are responsible for providing valid, current payment information. Fees are stated in Australian dollars, and GST is applied as indicated at checkout. If a payment fails, we may suspend or cancel your access until payment is resolved.

7. Cancellation, suspension, and refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you retain access until then. Except where required by law (including the Australian Consumer Law), fees already paid are non-refundable, and we do not provide refunds or credits for partial billing periods. We may suspend or limit your access if you breach these Terms or fail to pay fees due.

8. Acceptable use

You agree not to:

  • use the Services for any unlawful, fraudulent, or harmful purpose;
  • upload or transmit malicious code, or attempt to gain unauthorised access to the Services or related systems;
  • interfere with or disrupt the integrity or performance of the Services;
  • reverse engineer, copy, or resell the Services except as permitted by law;
  • use the Services to store or transmit content that infringes the rights of others or breaches any law; or
  • use the Services in a way that places an unreasonable load on our infrastructure.

9. Your data and content

You retain ownership of the data and content you and your users submit to the Services, including information about your jobs, customers, and business (“Your Data”). You grant us a non-exclusive, worldwide licence to host, process, and use Your Data solely to provide, maintain, and improve the Services, and as described in our Privacy Policy. You are responsible for the accuracy and legality of Your Data and for holding the necessary rights and consents to provide it, including any consent required from your own customers.

10. Intellectual property

The Services, including all software, design, text, graphics, and trade marks (but excluding Your Data), are owned by Nexus Solutions WA or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during your subscription. No other rights are granted.

11. Third-party services

The Services integrate with or rely on third-party services, including SSO providers, mapping and navigation providers, payment processing, and artificial intelligence providers. Your use of those services may be subject to their own terms. We are not responsible for third-party services and do not guarantee their availability or performance.

12. Service availability and changes

We aim to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance and may modify, suspend, or discontinue any part of the Services. We will take reasonable steps to give notice of material changes that adversely affect you.

13. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied. Features that rely on artificial intelligence produce suggestions and estimates only; you are responsible for reviewing and confirming any scheduling, routing, or other output before relying on it. Nothing in these Terms excludes any consumer guarantee or remedy that cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by law, Nexus Solutions WA will not be liable for any indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, or goodwill. Where our liability cannot be excluded but can be limited, our total liability to you for all claims arising from or relating to the Services is limited to the amount of fees you paid to us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

15. Indemnity

You agree to indemnify and hold Nexus Solutions WA harmless from any claims, losses, liabilities, and expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Services, or Your Data, except to the extent caused by our own breach or negligence.

16. Term and termination

These Terms apply for as long as you use the Services. You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Services. On termination, your right to use the Services ends. We will make Your Data available for export for a reasonable period after termination, after which we may delete it in accordance with our Privacy Policy.

17. Australian Consumer Law

Our Services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any right, remedy, guarantee, warranty, or other term or condition implied or imposed by the Australian Consumer Law or any other law where to do so would be unlawful.

18. Changes to these terms

We may update these Terms from time to time. The current version will always be available on this page, with the “Last updated” date revised. If we make material changes, we will take reasonable steps to notify you. Continued use of the Services after changes take effect constitutes acceptance.

19. Governing law

These Terms are governed by the laws of Western Australia, Australia. You and Nexus Solutions WA submit to the non-exclusive jurisdiction of the courts of Western Australia.
